1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ClawNow LLC ("ClawNow," "we," "us," or "our"), a United States limited liability company, governing your access to and use of the ClawNow AI chatbot hosting service ("Service").

By creating an account, subscribing to our Service, or otherwise accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

You must be at least 16 years of age to use this Service. By using the Service, you represent and warrant that you meet this age requirement.

2. Description of Service

ClawNow provides a hosted AI chatbot service that allows you to deploy and manage personal AI assistants accessible via WhatsApp or Telegram. The Service includes:

Hosting and management of your AI chatbot instance
Integration with messaging platforms (WhatsApp, Telegram)
Connection to AI providers (Anthropic, OpenAI) using your API keys
A web dashboard for configuration and monitoring

The Service requires you to provide your own API key from a supported AI provider. ClawNow does not provide AI API access; you must obtain and maintain your own API subscription with Anthropic or OpenAI.

3. Account Registration and Security

To use the Service, you must create an account using Google OAuth authentication. You agree to:

Provide accurate and complete information during registration
Maintain the security of your account credentials
Immediately notify us of any unauthorized access to your account
Accept responsibility for all activities that occur under your account
Not share your account with others or allow others to access the Service through your account

You are solely responsible for maintaining the confidentiality and security of your AI provider API keys. ClawNow encrypts your API keys but is not liable for any unauthorized use resulting from your failure to protect your credentials.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for all content generated through your chatbot and all activities conducted through your account.

4.1 Prohibited Activities

You agree NOT to use the Service to:

Illegal Activities

Engage in, promote, or facilitate any illegal activity
Violate any applicable local, state, national, or international law or regulation
Commit fraud, identity theft, or financial crimes
Facilitate drug trafficking, weapons sales, or other illegal commerce
Evade taxes or launder money

Harmful Content

Generate, distribute, or promote child sexual abuse material (CSAM)
Create content that exploits, harms, or endangers minors
Produce content promoting terrorism, violence, or extremism
Generate content inciting hatred based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
Create malware, viruses, or other harmful code
Generate instructions for creating weapons, explosives, or dangerous substances

Harassment and Abuse

Harass, bully, stalk, threaten, or intimidate any person
Impersonate any person or entity, or falsely state or misrepresent your affiliation
Send unsolicited messages (spam) or engage in automated mass messaging
Collect or harvest personal information without consent
Engage in doxxing or sharing others' private information

Fraud and Deception

Conduct phishing attacks or social engineering schemes
Create deepfakes or synthetic media to deceive others
Spread misinformation or disinformation
Operate pyramid schemes, Ponzi schemes, or other fraudulent business models
Impersonate AI systems as human beings without disclosure

Intellectual Property Violations

Infringe upon copyrights, trademarks, patents, or other intellectual property rights
Generate content that violates others' rights of publicity or privacy
Circumvent digital rights management or access controls

Service Abuse

Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the Service or servers
Reverse engineer, decompile, or disassemble any part of the Service
Use the Service to mine cryptocurrency or perform resource-intensive computations
Resell, sublicense, or commercially exploit the Service without authorization
Circumvent usage limits or security measures

4.2 AI Provider Terms

In addition to these Terms, you must comply with the terms of service and acceptable use policies of your chosen AI provider (Anthropic or OpenAI). Violation of AI provider terms may result in suspension or termination of your ClawNow account.

4.3 Messaging Platform Terms

You must comply with the terms of service of WhatsApp and/or Telegram when using the Service. This includes but is not limited to restrictions on automated messaging, spam, and commercial use.

5. Subscription and Payment

5.1 Fees

The Service is provided on a subscription basis at $20 USD per month. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

5.2 Billing

Subscription fees are billed monthly in advance through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

5.3 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting support. Upon cancellation:

Your subscription will remain active until the end of the current billing period
Your chatbot will be deactivated at the end of the billing period
No refunds will be provided for partial billing periods
Your account data will be retained for 30 days, after which it may be deleted

5.4 Price Changes

We reserve the right to modify our pricing. Any price changes will be communicated to you at least 30 days in advance and will take effect at the start of your next billing cycle.

6. Service Availability and Modifications

6.1 Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

Scheduled maintenance (we will provide advance notice when possible)
Emergency repairs or security updates
Circumstances beyond our reasonable control
Issues with third-party services (AI providers, messaging platforms)

6.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice of material changes that adversely affect your use of the Service.

7. Termination

7.1 Termination by You

You may terminate your account at any time by canceling your subscription and requesting account deletion through our support channels.

7.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, if:

You breach any provision of these Terms
You violate our Acceptable Use Policy
We are required to do so by law or legal process
We reasonably believe your use poses a security risk
Your payment method fails and is not resolved within 7 days

7.3 Effect of Termination

Upon termination:

Your right to use the Service will immediately cease
Your chatbot will be deactivated and removed
We may delete your account data (except as required for legal compliance)
Any outstanding fees will become immediately due
Provisions that by their nature should survive termination will survive

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the fullest extent permitted by law, ClawNow disclaims all warranties, including but not limited to:

Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties regarding the accuracy, reliability, or completeness of AI-generated content
Warranties that the Service will be uninterrupted, secure, or error-free
Warranties regarding third-party services (AI providers, messaging platforms)

You acknowledge that AI systems may produce inaccurate, inappropriate, or harmful outputs despite safeguards. You are solely responsible for reviewing and verifying any AI-generated content before acting upon it.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAWNOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

In no event shall ClawNow's total liability to you for all claims arising from or related to the Service exceed the amount you paid to ClawNow in the twelve (12) months preceding the claim.

ClawNow is not liable for:

Content generated by AI systems through your chatbot
Actions taken based on AI-generated responses
Violations of third-party terms by your use of the Service
Unauthorized access resulting from your failure to protect credentials
Interruptions or failures of third-party services

10. Indemnification

You agree to indemnify, defend, and hold harmless ClawNow and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content generated through your chatbot
Your violation of any applicable law or regulation

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution through binding arbitration in accordance with the rules of the American Arbitration Association.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against ClawNow.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

Posting the updated Terms on our website
Updating the "Last updated" date
Sending an email notification to your registered email address

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ClawNow regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.
